1. Acceptance of Terms

By accessing and using WedSeat, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

WedSeat is a web-based application that helps users create wedding seating charts and related stationery. Our service includes:

  • Guest list upload and parsing
  • Automated seating chart generation
  • Customizable design themes
  • PDF generation and download
  • Place card creation

3. User Accounts

To access certain features, you may be required to create an account. You are responsible for:

  • Maintaining the confidentiality of your account information
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Providing accurate and complete information

4. Payment Terms

Paid features are processed through Stripe. By making a purchase, you agree to:

  • Pay all charges incurred by your account
  • Provide accurate payment information
  • Our pricing as displayed at the time of purchase
  • All payments are final and non-refundable unless required by law

5. User Content and Data

You retain ownership of content you upload (guest lists, names, etc.). By using our service, you grant us:

  • License to process your data to provide the service
  • Right to store your content securely
  • Permission to generate seating charts and documents from your data

You are responsible for ensuring you have proper consent to use all guest information you upload.

6. Prohibited Uses

You may not use WedSeat to:

  • Upload illegal, harmful, or offensive content
  • Violate any laws or regulations
  • Attempt to gain unauthorized access to our systems
  • Use our service for commercial purposes beyond personal events
  • Upload data without proper consent from data subjects

7. Intellectual Property

WedSeat and its original content, features, and functionality are owned by us and protected by international copyright, trademark, and other intellectual property laws.

8. Service Availability

We strive to provide reliable service but cannot guarantee 100% uptime. We reserve the right to:

  • Modify or discontinue the service with reasonable notice
  • Perform maintenance that may temporarily affect availability
  • Set usage limits and restrictions

9. Limitation of Liability and Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WedSeat's total liability to you for any and all claims arising out of or relating to these terms or your use of the service is limited to the amount you actually paid us for the service in the 12 months preceding the claim
  • In no event shall our total aggregate liability exceed $100 USD, regardless of the number of claims or the nature of such claims
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, reputation, or goodwill
  • We are not liable for any damages arising from your reliance on seating arrangements generated by our AI system
  • We do not guarantee the accuracy of AI-generated seating charts or guest arrangements
  • You acknowledge that our service is provided “as is” without warranties of any kind

These limitations apply even if we have been advised of the possibility of such damages and regardless of the legal theory upon which your claim is based.

10. Indemnification

You agree to indemnify, defend, and hold harmless WedSeat and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your use of the service
  • Your violation of these terms
  • Your guest data or content that you upload
  • Any disputes arising from seating arrangements at your events

11. Termination

We may terminate or suspend your account immediately if you breach these terms. You may also terminate your account at any time by contacting us.

12. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the service after changes constitutes acceptance of the new terms.

13. Governing Law

These terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved in the appropriate courts.
